Welcome to the Amava Guest Contributor Program. This Program is designed to
enable select writers, physicians, educators and other experts with special
knowledge or experience to contribute Posts to the Amava Post on an occasional
or regular basis. Any contributions made are accepted by Amava on the following
terms and conditions:
Rights to Posts. As a Guest Contributor (“You”) agree to allow Grayful, LLC
(“Amava”) to publish original articles written by You (the “Posts”) on Amava’s
website (“Amava.com”) and apps, and in Amava’s newsletter, webinars and
seminars (together, the “Amava Properties”). You grant Amava the
non-exclusive, perpetual, worldwide right to publish and use on the Amava
Properties (and those of Amava affiliates and partners), syndicate, and distribute
all or a portion of the Posts in any language, worldwide.
You grant Amava the right to use Your name, likeness, information about You
provided to Amava, and the logo of Your web site, if applicable, in connection
with the Posts.
Except for the rights granted Amava in this agreement, You retain all rights,
including original copyright, in the Posts.
Posts Do Not Violate the Rights of Others. You represent and warrant that
You have the right to grant all rights to the Posts; that the Posts are original; that
they do not knowingly contain any untrue statements, invade any right of privacy,
or infringe upon any statutory or common law copyright or otherwise violate the
rights of any third party; and that all statements in the Posts that are asserted as
facts are true and/or based upon reasonable research for accuracy.
You agree to cooperate in the defense of any legal action brought against Amava
from the Posts. You agree to reveal to Amava any actual or potential conflict of
interest, including but not limited to any financial interest in any product, firm, or
commercial venture relating to the subject of the Posts. Amava reserves the right
to remove any of the Posts that violate its publishing standards or for any other
reason at any time.
Editing or Removal of Posts. Amava may remove or delete any Posts at any
time in its sole discretion. Amava may illustrate or edit the Posts, but is not
required to do so. You grant Amava the right to illustrate and edit the Posts for
publication and marketing purposes. If You disagree with any edits or illustrations
your sole recourse is to request in writing the removal of the Post in question
which Amava will use reasonable efforts to accomplish within 30 days.
Compensation. You are contributing the Posts so that your message can better
reach Amava members which You agree is sufficient compensation for your
efforts. You will not receive any other compensation from Amava for the Posts
unless otherwise agreed to in writing. Any agreements related to services You
may provide to Amava members shall be the subject of a separate written
Site References. You may include a link to your Amava Profile or your website
at the end of your Post. You shall include the Amava logo including a live link to
the Amava Post on your Website indicating you are a Guest Contributor.
Governing Law. These terms shall be governed by and construed in accordance
with the laws of the State of California without giving effect to any change of law
statutes or principles that would cause the laws of any other jurisdiction to apply.
Dispute Resolution. Any dispute arising out of or related to the subject matter of
this agreement will be first discussed through informal negotiation. If, after 30
days, You and Amava are not able to work out the dispute, the dispute shall be
subject to non-binding mediation, prior to arbitration. The mediator shall be a
neutral retired judge or practicing attorney to be agreed upon by the parties.
Mediation shall be conducted in Menlo Park, San Mateo County, California and
parties not residing in the Bay Area may attend the hearing via video call. If the
dispute is not resolved by mediation, You and Amava shall submit the dispute to
binding arbitration under proceedings using the rules of the American Arbitration
Association. The arbitrator shall be a neutral retired judge or practicing attorney
to be agreed upon by You and Amava. Arbitration shall be conducted in Menlo
Park, San Mateo County, California. Each party shall bear its own costs in any
Limited Liability. Amava and its affiliates, and their respective members,
directors, officers, managers, employees, shareholders, agents and licensors are
not liable to You for incidental, indirect, consequential, special, punitive, or
exemplary damages of any kind, including, without limitation, lost revenues or
profits, loss of business or loss of data, in any way related to the Amava
Properties or this Agreement, or for any claim, loss or injury based on errors,
omissions, interruptions or other inaccuracies on the Amava Properties or in the
Posts (including, without limitation, as a result of breach of any implied or explicit
warranty under these terms). Any claim against Amava shall be limited to the
amounts You paid, if any, to Amava.
Amendment. These terms and conditions may be updated from time to time.
Any updates shall apply to You and any Posts from that date forward. If you
disagree with any changes, you have the right to no longer participate in the
Amava Guest Contributor Program.
